Terms of Service

These Terms govern your access to and use of Cheers (the “Service”), operated by WKSJ Inc. (“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

1. The Service

Cheers connects to your Google Business Profile and uses artificial intelligence to draft replies to your customer reviews, which you can review, edit, and post. Features and availability may change over time.

2. Accounts

You must be able to form a binding contract and have authority to manage the business locations you connect. You’re responsible for the accuracy of your account information, for activity under your account, and for keeping your credentials secure.

3. Plans, credits & billing

• Credits. Generating or posting a reply costs 1 credit. Paid plans include a monthly credit allotment; you may also buy one-time top-ups. Credits are promotional service units — not stored value, currency, gift cards, or property rights. They roll over while your subscription is active, have no cash value, and are non-transferable.
• Subscriptions & auto-renewal. Paid plans are billed monthly in advance through our payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method until you cancel. You may cancel at any time before the next renewal date to avoid future charges.
• Upgrading. Takes effect immediately; you’re charged a prorated amount for the rest of the current period and the higher credit allotment is added right away.
• Downgrading. Takes effect at the end of the current billing period — you keep your current plan and credits until then, and the lower allotment begins at the next renewal.
• Canceling. Cancel anytime from the billing portal; it takes effect at the end of the current period, and you keep access and remaining credits until then. We don’t provide prorated refunds for partial periods.
• Refunds. Except where required by law, payments and one-time top-ups are non-refundable.
• Price changes & taxes. We may change prices on notice, effective the following billing period. Prices exclude taxes unless stated; you’re responsible for applicable taxes.

4. AI-generated content

AI-generated outputs may contain inaccuracies, offensive language, factual errors, legal risks, or content that violates platform policies. You are solely responsible for reviewing, editing, approving, and publishing any output. We do not guarantee the accuracy, legality, suitability, or effectiveness of AI-generated content. The Service is a drafting aid and is not professional, legal, or business advice.

5. Google Business Profile

You remain solely responsible for complying with Google Business Profile policies and requirements. Any suspension, restriction, removal, or enforcement action taken by Google is outside our control and is your responsibility.

6. Acceptable use

Don’t use the Service to post unlawful, deceptive, harassing, or infringing content, to violate Google’s policies, or to abuse, reverse-engineer, circumvent rate limits, or disrupt the Service.

7. Your content & intellectual property

You own the review responses you create and publish, and you’re responsible for them. The Service — including the platform, software, code, workflows, prompts, branding, logos, and design — is owned by WKSJ Inc. and its licensors. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service; no other rights are granted.

8. Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

9. Third-party services

The Service relies on third parties including Google, Stripe, and our infrastructure and AI providers. Cheers is not affiliated with, endorsed by, or sponsored by Google; Google and Google Business Profile are trademarks of Google LLC. Your use of connected services is also governed by their terms.

10. Service availability

We don’t guarantee uninterrupted availability and may modify, suspend, or discontinue features at any time. The Service depends on third parties (e.g. Google, OpenAI, Stripe, Cloudflare) whose changes or outages may affect functionality.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind to the fullest extent permitted by law. We don’t warrant that drafts will be accurate or that the Service will be uninterrupted or error-free.

12. Limitation of liability

To the maximum extent permitted by law, we won’t be liable for indirect, incidental, special, or consequential damages. Our aggregate liability for any claim shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amounts you paid us during the twelve (12) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless WKSJ Inc. and its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of any law, or your violation of these Terms.

14. Force majeure

We aren’t responsible for delays or failures caused by events beyond our reasonable control, including internet or cloud-provider outages, government actions, labor disputes, natural disasters, or acts of God.

15. Export control & sanctions

You may not use the Service in violation of applicable export-control or sanctions laws, and you represent that you are not located in, or a resident of, an embargoed jurisdiction or on a restricted-party list.

16. Changes & termination

We may update these Terms; material changes will be posted here with a new effective date. We may suspend or terminate accounts that violate these Terms. You may stop using the Service at any time.

17. Governing law & venue

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws rules. The exclusive venue for disputes is New York County, New York, and you consent to that jurisdiction.
